General Terms and Conditions of Use and Licensing

These Terms and Conditions of Use (“Terms”) regulate the commercial relationship and licensing of use between the company Lord Productions, hereinafter referred to as “Lord Productions” or “LICENSOR”, and the individual or legal entity acquiring the license, hereinafter referred to as “CLIENT” or “LICENSEE”.

The object of this instrument is the regulation of the use of the management and service automation software named “Lord Productions System”, provided in the self-hosted mode.

BY CONTRACTING AND USING THE Lord Productions SYSTEM, THE CLIENT DECLARES TO HAVE READ, UNDERSTOOD, AND FULLY ACCEPTED THESE TERMS.

To facilitate the reading and interpretation of this document, we adopt the following definitions:

2. NATURE AND EFFICACY OF THE TERMS

2.1. By acquiring the Use License, the Client fully agrees to these Terms. Acceptance of these rules is an indispensable condition for the release of access, installation, and use of the Lord Productions System.

2.2. The completion of payment or the simple commencement of the use of the Lord Productions System implies, for all legal purposes, the full, unequivocal, and irrevocable acceptance of all conditions established in these Terms and their future updates.

2.3. The Client acknowledges that these Terms have the force of a binding contract, replacing any verbal agreements or previous message exchanges.

2.4. Under the doctrine of apparent authority, Lord Productions will consider the contracting valid upon the provision of registration data and payment, with the Client declaring that the person responsible for the purchase has full powers to represent them.

2.5. Lord Productions may alter these Terms at any time. Continued use of the system after the publication of changes confirms acceptance of the new Terms.

3. TECHNICAL REQUIREMENTS AND OPERATING CONDITIONS

To ensure the performance, security, and stability of the Lord Productions System, the Client must strictly observe the following technical requirements.

3.4. Supported Versions: It is crucial to keep the operating system and browsers updated. Supported versions for connection with the WhatsApp Platform are:

3.5. Veracity of Information: The User must provide true, exact, and current information. Lord Productions reserves the right to refuse registration or cancel accounts whose Users adopt conduct contrary to these Terms or the company’s values, without the need for prior notification or indemnification.

3.6. Connection Protocols (Official API vs. Unofficial): 3.6.1. Recommended Standard: Lord Productions was developed to use the Official WhatsApp API (WABA) as the standard. The Official API guarantees greater stability, security, and direct support from Meta, being the only option for which we offer a full functionality guarantee. 3.6.2. Unofficial APIs (Risks): For greater flexibility, the system allows integration with Unofficial APIs (WWebJS, Baileys, Meow, Evolution, Uazapi, Z-API, etc.). The use of these APIs is the sole responsibility of the Client, who must be aware of the risks, including:

4. DELIMITATION OF RESPONSIBILITIES AND RELATIONSHIP WITH THIRD PARTIES

4.1. These Terms exclusively govern the commercial relationship between Lord Productions and the Client (Licensee).

4.2. Responsibility for Team: The Client is solely responsible for the selection, hiring, remuneration, and management of their employees (Users/Agents) who use the platform, exempting Lord Productions from any employment relationship or joint liability.

4.3. Responsibility for the White-Label Model (Tenants): Considering that the Client may resell the use of the system (SaaS) under their own brand: 4.3.1. Lord Productions acts as a technology provider and has no relationship with the Client’s end customers (Tenants). 4.3.2. The Client is solely responsible for support, billing, and legal compliance regarding their own customers. Any judicial dispute initiated by a Tenant must be fully assumed by the Client.

5. OBJECT AND LICENSE OF USE

5.1. Object: The contract grants the Client a Software Use License (Right of Use), non-exclusive, non-transferable, and temporary, of the Lord Productions System, for installation on the Client’s server (VPS).

5.2. Scope: The license allows installing the software, configuring White-Label, creating unlimited users (according to server capacity), and receiving updates during the contract term.

5.3. Restrictions: Under penalty of immediate cancellation and legal measures, it is prohibited to: a) Copy, sell, or distribute the source code or the system installer. b) Perform reverse engineering or decompilation of the source code. c) Sublicensing and Distribution: Selling, renting, donating, or transferring installation files, source code, or the license key for third parties to perform installation on their own infrastructure (piracy). Sole Permitted Modality (SaaS): Authorized commercialization is restricted exclusively to the sale of access to the system (login/password), with the software necessarily running on infrastructure managed by the Licensee Client.

5.4. Self-Hosted Nature: The Client declares awareness that Lord Productions provides the software, not the infrastructure. Management of the server (VPS) is the responsibility of the Client.

5.5. Installation Setup Service: In addition to making the automated installer and tutorials available in the member area, if the Client opts for scheduled installation, Lord Productions will perform, one single time, the remote technical installation of the software on the server indicated by the Client. The execution of this service is mandatorily conditioned upon the delivery of the environment under the following conditions: 5.5.1. Server State: The VPS must be delivered formatted (clean install), containing only the Operating System installed, without management panels (such as cPanel, Plesk, CyberPanel) and without other services running (Apache, Nginx, or pre-installed databases), to avoid port conflicts. 5.5.2. Mandatory Specifications:

6. PLANS, PAYMENT, RENEWAL, AND CANCELLATION

6.1. Nature of Contracting and Annual License: The acquisition of the Lord Productions System is made through the purchase of an Annual Use License. 6.1.1. The license value corresponds to a single payment referring to the 12 (twelve) month cycle. 6.1.2. If the Client opts for installment payment via credit card (e.g., in 12 installments), they declare to be aware that this is not a cancelable monthly subscription, but a single installment purchase, assuming the commitment to pay the full installments to the card operator, regardless of the effective use of the system during the entire period.

6.2. Scope of Use, Domains, and Audit: 6.2.1. The standard use license of Lord Productions grants the right to install multiple instances (Tenants) on unlimited subdomains (e.g., https://www.google.com/search?q=app1.client.com, https://www.google.com/search?q=app2.client.com), provided that all subdomains are linked to the same root domain, owned by the Client, which will be validated by the license key at the time of activation. 6.2.2. Non-transferability: The license is personal, non-transferable, and linked to the Tax ID (CPF/CNPJ) of the acquiring Client. Sharing the license key for activation on third-party domains is prohibited. 6.2.3. Audit and Penalty: Lord Productions reserves the right to verify compliance with these limitations at any time (via telemetry or audit). Finding of misuse (installation on unauthorized domains or divergent from the licensee) will result in license suspension and additional proportional billing for the irregularly used extra licenses. 6.2.4. Special Conditions (Multi-domain): At the exclusive discretion of Lord Productions, special licenses may be marketed or promotional bonuses offered that allow activation on multiple domains within the same key. Such conditions will be valid only if expressly described in the corresponding offer or invoice.

6.3. License Renewal: The license is valid for 1 year from the date of purchase. To guarantee continuity of use, the Client must renew the license at the end of the cycle. 6.3.1. Automatic Renewal (Subscription): The Client may opt, at the time of purchase or through the control panel, to activate Automatic Renewal. In this model, the charge for the new annuity will be automatically made to the registered payment method, ensuring service continuity without interruptions. I. The Client may disable automatic renewal at any time before the billing date, without penalties, returning to the manual renewal model. 6.3.2. Renewal Anticipation: The Client may, at their discretion, anticipate the license renewal before expiration. In this case, the new 12-month period will be added to the final date of the current license (adding to the remaining term), limited to a maximum accumulation of 24 (twenty-four) months of total license key validity. 6.3.3. Block due to Non-Renewal: If renewal (manual or automatic) does not occur by the due date, the license will be automatically deactivated at the end of the annual cycle. The license block prevents access to the administrative panel and immediately interrupts the operation of all connections, automations, and APIs until financial regularization is effected.

6.4. Cancellation and Refund Policy (Annual Sale): 6.4.1. Right of Regret (7 Days): In compliance with consumer protection laws, the Client may request cancellation and a full refund of the amount paid within up to 07 (seven) calendar days after the initial purchase date. 6.4.2. Irrevocability after 7 Days: Once the 7-day period has elapsed, the license is considered fully delivered and consummated. There will be no refund, chargeback, or cancellation of coming installments (pro rata) if the Client decides to stop using the system before the end of the 12-month period. 6.4.3. A cancellation request made after the legal period of regret will only effect non-renewal for the next cycle, with the system remaining available for use until the end of the already contracted and paid term.

6.5. Price Readjustment and Value Protection: Lord Productions reserves the right to readjust the license value for new licensing or renewals, aiming to preserve the economic balance of the service against market variations, inflation, or operational costs. 6.5.1. Prior Notice: For Clients with an active license, any readjustments will be applied only on the next renewal date. Lord Productions commits to communicating any price change with minimum advance notice via email or administrative panel. 6.5.2. Price Lock: The Client has the option to secure the current table value and protect against future readjustments. To do this, simply perform the renewal anticipation (according to rules in item 6.3.2), which allows “locking” the current price for the contracted period, up to a maximum limit of 24 (twenty-four) accumulated months.

6.6. Variable Third-Party Costs: The amounts charged by Lord Productions refer exclusively to the software license. Variable costs arising from third-party services integrated into the platform are the sole responsibility of the Client and may suffer alterations beyond Lord Productions‘s control, such as: I. Meta/WhatsApp tariffs (conversation windows, WABA); II. Consumption of Artificial Intelligence APIs (OpenAI, Anthropic, Google, Grok, etc.); III. SMS Services, Payment Gateways, and VPS Providers. IV. Consumption of external APIs managed by third parties (Hub Notificame, Uazapi, Z-API, etc.);

6.7. Default and Suspension: In the event of failure in processing installment payments or improper chargebacks: I. Lord Productions will immediately suspend access to the license and technical support. II. Lord Productions reserves the right to refuse new sales to Clients with a history of default or who have violated rules of conduct and respect towards the support team.

7. TECHNICAL SUPPORT POLICY AND SLA

This chapter defines the scope, channels, hours, and procedures for triggering technical support.

7.1. Channels and Hours: The only official channel for requesting technical support is through our ticket portal. Service Hours: Monday to Friday, from 08:00 AM to 06:00 PM (Brasília Time), except national holidays.

7.2. Response Time (SLA): Our maximum deadline for responding to a new ticket is up to 03 (three) business days, counted from the opening of the ticket.

7.3. Support Scope (What is included): Our team is prepared and restricted to assist with: I. Clarification of doubts about the operation and native features of the Lord Productions System. II. Investigation and correction of bugs or flaws in the system code. III. Assistance in configurations related exclusively to the Lord Productions software.

7.4. Limitations (What is NOT included): To ensure service quality, the following items are outside the scope of our standard technical support, being the Client’s responsibility: I. Configuration, management, maintenance, or security of the client’s server (VPS). II. Support for third-party tools (Typebot, N8N, SIP, External Webhooks, etc.). III. Creation of chatbot flows, service logic, implementation of automations, or business/marketing consulting. IV. Remote access to the client’s machine (for privacy and security reasons). V. Frontend customizations, code changes, or design (CSS/HTML) personalized for the client. VI. Resolution of instabilities or failures in Unofficial APIs. The operation of these connections depends on third-party libraries and non-homologated routes (WhatsApp Web simulation), being subject to blocks and interruptions by Meta that are beyond the technical control of Lord Productions. VII. Support for local environments and restrictive networks: Diagnosis of connection problems arising from installations on local infrastructure (Localhost, physical on-premise servers, virtual machines on personal PCs), as well as difficulties related to networks without a dedicated public IP (CGNAT), connection tunnels (Ngrok, Cloudflare Tunnel), customized reverse proxies, or corporate edge firewalls that diverge from the standard homologated environment (Cloud VPS with Public IP).

8. OBLIGATIONS, RESPONSIBILITIES, AND LIMITATIONS

8.1. Obligations of Lord Productions: Provide installation files, perform initial setup, release updates (correction/security), and provide technical support limited to the functioning of the software (bugs and operational doubts).

8.2. Obligations of the Client: Contract and maintain the VPS, perform periodic backups (Lord Productions does not have access to data), manage third-party integrations, and administer users.

8.3. Limitations on Third-Party Integrations: As detailed in Clause 3.6, Lord Productions has no control over external services (Meta/WhatsApp, OpenAI, Gateways). 8.3.1. Lord Productions will not be held responsible for unavailability, policy changes, blocks, or bans on numbers applied by third parties. 8.3.2. The unavailability of third-party services does not exempt the Client from paying for the license, nor does it generate a right to a refund. 8.3.3. 8.4. Inherent Risks and Technological Dependence: 8.4.1. The Client acknowledges that the system is subject to interferences, malfunctions, or delays inherent to the use of the internet and server infrastructure. 8.4.2. The Client declares to be aware of these risks and agrees that failures arising from external factors do not constitute a software defect. In these hypotheses, no compensation for damages will be due by Lord Productions, including, but not limited to: material damages, lost profits, loss of a chance, or moral damages.

9. INTELLECTUAL PROPERTY

9.1. Ownership of Lord Productions: The Lord Productions System, its source code, database architecture, logos (of the Lord Productions brand), documentation, manuals, and APIs are the exclusive intellectual property of Lord Productions (Licensor). 9.1.1. The contracting of the license does not transfer, under any circumstances, the ownership or copyrights of the software to the Client. The Client receives only an authorization of use (License), limited, revocable, and non-exclusive. 9.1.2. The Client is prohibited from removing, hiding, or altering copyright notices or license validation mechanisms embedded in the source code, except in areas explicitly designated for visual personalization (White-Label).

9.2. Ownership of the Client (White-Label and Data): Belong exclusively to the Client: I. The brand, logo, and visual identity applied to the platform in the White-Label model. II. The database of contacts, conversation histories, and information of their end customers (Tenants). III. The pricing strategy and contracts signed with their own customers.

9.3. Audit: Lord Productions reserves the right to remotely monitor, via system telemetry, the validity of the license key, registered subdomains, and login statistics performed in the system, respecting Client data privacy.

10. PRIVACY AND DATA PROTECTION (GDPR/LGPD)

10.1. Roles of the Parties (Definition of Controller and Processor): For the purposes of the General Data Protection Law/General Data Protection Regulation: 10.1.1. Lord Productions as Controller: Lord Productions acts as Controller only of the Direct Client’s registration data (name, email, Tax ID, telephone, domain), used for billing, license validation, and support. 10.1.2. Client as Controller: The Client is the sole and exclusive Controller of the personal data of third parties (their end customers/tenants, leads, and contacts) that flow through the Lord Productions System installed on their server.

10.2. Absence of Access to Data (Self-Hosted Model): The Client acknowledges that, due to the self-hosted nature of the software: 10.2.1. The database is hosted on the infrastructure (VPS) contracted by the Client, under their custody and responsibility. 10.2.2. Lord Productions does not have access to the content of messages, contact lists, or sensitive data processed by the Client, except when the Client voluntarily provides temporary access credentials for technical support purposes.

10.3. Responsibility for Leaks: It is exclusively incumbent upon the Client to ensure the security of their server (VPS), applying firewalls, operating system updates, and good security practices. Lord Productions is not responsible for data leaks resulting from invasions, security flaws in the VPS, or social engineering suffered by the Client or their team.

11. GENERAL PROVISIONS

Lord Productions informs that it may, at any time, unilaterally modify/update these Terms and Conditions of Use. If this happens, the User with a current Subscription Plan will be notified, and the updated version will be valid from its publication. The continuity of access or use of Lord Productions by Users, after disclosure, will confirm the acceptance and validity of the new Terms and Conditions of Use.

11.1. Communications: All communications, notifications, and notices will be considered valid when sent to the email addresses registered by the Client at the time of purchase or through notices in the system’s administrative panel.

11.2. Tolerance: The eventual tolerance of Lord Productions in requiring compliance with any clause of this contract will not constitute novation, waiver, or forgiveness of rights, and the clause may be required at any time.

11.3. Conduct and Respect: Lord Productions values mutual respect. It reserves the right to suspend technical support or, in extreme cases, terminate the license if the Client or their representatives treat the service team with aggression, insults, racism, harassment, or any inappropriate behavior.

11.4. Assignment: The Client may not assign or transfer this contract to third parties without the prior written authorization of Lord Productions. Lord Productions may assign this contract in the event of a merger, acquisition, or sale of company assets.

11.5. Independence of Clauses: If any provision of this contract is considered invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.

12. FORUM AND APPLICABLE LEGISLATION

12.1. This contract is governed by the laws of the Federative Republic of Brazil, especially the Civil Code and the Intellectual Property and Software Laws.

12.2. The forum of the Judicial District of Alfenas – MG is elected as the sole competent forum to settle any doubts or disputes arising from this contract, with express waiver of any other, however privileged it may be or become.
